Web Design, Design Works Products and Services Terms & Conditions

ACCEPTANCE:

A copy of these terms and conditions must be signed by all new customers at the time of submission of work to StudioZone, indicating agreement to and acceptance of these Terms and Conditions. Alternatively, accepting an online quotation, payment of an advance fee or payment online is an acceptance of our terms and conditions.

We reserve the right to amend or update these Terms & Conditions at any time.

LICENSE:Studio Zone grants you (“The Customer”) non-exclusive limited license to use the web templates and services sold through our website by independent content providers (the "products") in accordance with these Terms and Conditions (the "license").You may use each individual product on a single website only, belonging to either you or your client. You have to purchase the same template once more in order to make another project with the same design. You should be aware that custom templates might be released at a future time with appropriate modifications to keep the uniqueness of your project.

 

WEBDESIGN

1.  MODIFICATIONS:

The Customer is authorized to make any necessary modification(s) to our products to fit your purposes. The Customer may alter the products code for your own use. The Customer may not, however, distribute the original products code or your modified products code without the explicit permission of StudioZone

2.  UNAUTHORIZED USE:

The Customer may not place any of our products, modified or unmodified, on a diskette, CD, website or any other medium and offer them for redistribution or resale of any kind without prior written consent.

3.  ASSIGNABILITY:

The Customer may not sub-license, assign, or transfer this license to anyone else without prior written consent.

4. OWNERSHIP:

The Customer may not claim intellectual or exclusive ownership to any of the products, modified or unmodified. Our products are provided “as is” without warranty of any kind, either expressed or implied. In no event shall our juridical person be liable for any damages including, but not limited to, direct, indirect, special, incidental or consequential damages or other losses arising out of the use of or inability to use our products.

5. COPYRIGHT:

The Customer retains the copyright to data, files and graphic logos provided by the Customer, and grants StudioZone the rights to publish and use such material. The Customer must obtain permission and rights to use any information or files that are copyrighted by a third party. The Customer is further responsible for granting StudioZone permission and rights for use of the same and agrees to indemnify and hold harmless StudioZone from any and all claims resulting from the Customer's negligence or inability to obtain proper copyright permissions. A contract for Web site design and/or placement shall be regarded as a guarantee by the Customer to StudioZone that all such permissions and authorities have been obtained. Evidence of permissions and authorities may be requested.

6. STANDARD MEDIA DELIVERY:

Unless otherwise specified in the project quotation, this Agreement assumes that any text will be provided by the Customer in electronic format (ASCII text files delivered on CD/DVD, e-mail and/or FTP) and that all photographs and other graphics will be provided physically in high quality print suitable for scanning or electronically in .gif, .jpeg, .png or .tiff format. Although every reasonable attempt shall be made by StudioZone to return to the Customer any images or printed material provided for use in creation of the Customer's Web site, such return cannot be guaranteed.

7. ACCESS REQUIREMENTS:

If the Customer's Web site is to be installed on a third-party server, Studio Zone must be granted temporary read/write access to the Customer's storage directories, and those directories must be accessible via FTP. Depending on the specific nature of the project, other resources might also need to be configured on the server.

8. CUSTOMER REVIEW:

Studio Zone will provide the Customer with an opportunity to review the appearance and content of the Web site during the design and once they are completed. At the completion of the project, such materials will be deemed to be accepted and approved unless the Customer notifies StudioZone otherwise within ten (10) days of the date the materials are made available to the Customer.

9. DEVELOPER CREDIT:

A link to Studio Zone will appear in either small type or by a small graphic at the bottom of the Customer's Web site. If a graphic is used, it will be designed to fit in with the overall site design.

11. DOMAIN NAMES:

Studio Zone may purchase domain names on behalf of the Customer. Payment and renewal of those domain names is the responsibility of the Customer. The loss, cancellation or otherwise of the domain brought about by non or late payment is not the responsibility of Studio Zone. The Customer should keep a record of the due dates for payment to ensure that payment is received in good time.

12. SUPPORT:

Studio Zone offer website templates, products and services ‘as is’, with no implied meaning that they will function exactly as you wish or with all 3rd party extensions/products. Studio Zone cannot accept responsibility for any alterations caused by a third party occurring to the Customer's pages once installed. Such alterations include, but are not limited to additions, modifications or deletions.

 

DESIGN WORKS

1. LOGO DESIGN WORKS:

Full copyright to any chosen design concept out of designs presented to you is yours once payment has been received in full, however Studio Zone retains the right to display the item/s in any online or offline portfolios, and for the purpose of marketing or advertising our services on or offline.

Payment is required for the provision of design concepts: The Customer is required to pay for our time, and quoted prices are based on design concepts provided, regardless whether used by you or not.

If after receiving the number of design concepts provided under your chosen design package, and any requested revisions, the Customer would like to see further design concepts, these are chargeable at £75.00 per additional design.

Important Logo Design Notes:
If after seeing the first logo design the Customer decides that they do not wish to see any further concepts - the Customer will be charged only £150.00, which covers the time spent discussing your needs, administration, the design time, any revisions to it, and your inclusive support.

2. PRINTED STATIONERY:

The Customer shall be responsible to Studio Zone for ensuring the accuracy of the terms of any Order (including any applicable specification) submitted by the Customer, and for giving Studio Zone any necessary information relating to the Goods and Services within a sufficient time to enable Studio Zone to perform the Agreement in accordance with its terms.

The quantity, description and any specification for the Goods shall be those set out in the Order.

All orders are subject to a 5% (approx) overrun/underrun. This is standard practice in the printing industry due to an estimated 5% spoilage which may occur at different phases of production.

Delivery of the Goods shall be made to the Delivery Address. Studio Zone shall be entitled to charge the Customer for all storage charges reasonable incurred. Risk of damage to or loss of the Goods shall pass to Customer upon delivery of the Goods as provided.

The Customer shall be responsible to ensure that the content of any artwork is correct, this includes print ready artwork supplied by the Customer and any design proofs supplied by Studio Zone. Artwork supplied by the Customer as print ready will be treated as such, any errors including typographical and design errors once printed are without any liability on the part of Studio Zone.

 

PAYMENT AND REFUND POLICY

1. PAYMENT CONDITIONS:

An initial invoice of 15% (of the total quoted project) will be created as a deposit for Studio Zone to comence work on the project. Once the project is complete and signed off, a final invoices will be provided by Studio Zone of the work for Web Design, Design Works and any associated services. Invoices are normally sent via email and are viewable via the Customers account on Studio Zone's website; however, the Customer may elect to receive hard copy invoices. Invoices are due upon receipt.

Payment methods include credit cards (including MasterCard and Visa), debit cards (including Switch/Maestro) by use of PayPal or WorldPay. We may at our descretion allow Bank Transfers or cheque payment.

Some customer purchases can be pending for manual antifraud check up to review of PayPal. You will receive a detailed email about your payment. Antifraud check occurs because of growing number of fraud transactions from persons who are not actual cardholders of the credit cards used during purchase. In all instances we will only accept a project when cleared payment has been received.

2. DEFAULT:

Accounts unpaid thirty (30) days after the date of invoice will be considered in default. Accounts in default will be assessed a service charge in the amount of the higher of three percent (3%) or £25 per month of the total amount due.

If the Customer in default maintains any information or files on Studio Zone Web space, Studio Zone will, at its discretion, remove all such material from its Web Space. Studio Zone is not responsible for any loss of data incurred due to the removal of the service. Removal of such material does not relieve the Customer of the obligation to pay any outstanding charges assessed to the Customer's account. Customers with accounts in default agree to pay Studio Zone reasonable expenses, including legal fees and costs for collection by third-party agencies, incurred by Studio Zone in enforcing these Terms and Conditions.

3. REFUND POLICY:

Studio Zone sells non-tangible irrevocable goods.

The Customer will be invoiced for design work completed to the date of first notice of cancellation for payment in full within thirty (30) days.

All our EU based Customers have the right to cancel within seven days of their contract with Studio Zone, or seven days of receipt of the goods (whichever is the longer). In order to claim your refund please follow the process outlined in '4. TERMINATION' .

All other Customers must understand that we do not issue refunds after a product is shipped, and you are responsible for understanding this upon purchase. We only make exceptions with this rule when the product appears to be not-as-described, on a case by case basis, and in agreement of the parties concerned.

All Customers must make sure that you have carefully read all relevant documentation.

4. TERMINATION:

4.1 Termination of services by the Customer must be requested in a written notice and will be effective on receipt of such notice. E-mail or telephone requests for termination of services will not be honoured until and unless confirmed in writing. The Customer will be invoiced for design work completed to the date of first notice of cancellation for payment in full within thirty (30) days.

 

DISCLAIMER

Studio Zone products are provided "as is" without warranty of any kind, either expressed or implied. In no event shall our juridical person be liable for any damages including, but not limited to, direct, indirect, special, incidental or consequential damages or other losses arising out of the use of or inability to use our products. We are not licensed to provide certain true-type fonts (TTF) that might be used on any or all of the provided templates. These require the Customer own or purchase the fonts from their respective owners. It is the responsibility of the Customer to make the required backups of both your databases and or website files. Due to the nature of internet threats our products are supplied with all current security patches at the time of development.

Any typographical, clerical or other error or omission in any literature, quotation, price list, acceptance of offer, invoice or other document or information issued by Studio Zone shall be subject to correction without any liability on the part of Studio Zone.

 

GOVERNING LAW

This Agreement shall be governed by English Law.
